The Basics

1.1 Who Can Use Clio

Clio is available to users aged 13 and older. If you are under 18, you must have parental or guardian consent to use the Service.

1.2 Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. This includes the security of any API keys you store within Clio.

1.3 The Company

writewithclio.com is a brand of GalateaLabs, a Delaware corporation based in Clermont, FL.

Understanding Clio

2.1 What Clio Is

Clio is an AI-powered writing companion platform for fiction writers. It provides tools for manuscript analysis, world-building, character tracking, consistency checking, knowledge graphing, and AI-assisted critique.

2.2 BYOK Model

Clio operates on a Bring Your Own Keys (BYOK) model for AI features. You provide your own API keys for AI providers (Claude, Gemini, etc.). We charge for the platform, not the AI usage. You are responsible for your own API costs with those providers.

2.3 What Clio Is Not

Clio is not a publishing platform, literary agent, or legal advisor. AI-generated analysis and suggestions are tools to aid your writing process — not professional editorial or publishing advice.

Your Content

3.1 Ownership

You retain full ownership of all manuscripts, characters, world-building data, and other creative content you upload or create within Clio. We claim no ownership over your work.

3.2 License to Operate

You grant GalateaLabs a limited license to process your content solely to provide the Service — analysis, storage, display within your workspace, and AI feature processing. This license terminates when you delete your account.

3.3 AI Processing

When you use AI features, portions of your content are sent to AI providers (Anthropic, Google, etc.) using your API keys. These transmissions are governed by those providers' terms. We send only the minimum data necessary for each request.

3.4 Our Content

All software, designs, features, and platform content created by GalateaLabs are protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the platform.

Payments and Subscriptions

4.1 Payment Authorization

You authorize GalateaLabs to charge your payment method for subscriptions via Stripe. All payments are processed securely through Stripe — we never see or store your full payment details.

4.2 Subscriptions

Subscriptions automatically renew unless canceled before the end of the billing period. Cancellation grants access until the end of the current billing period. No partial refunds for mid-period cancellation.

4.3 Free Tier

The free tier is available indefinitely with limited features. We reserve the right to modify free tier limits with 30 days' notice.

4.4 Price Changes

30 days' notice will be provided for subscription price changes. Continued use after a price change constitutes acceptance.

Acceptable Use

5.1 Your Responsibilities

Use the Service lawfully, respectfully, and in alignment with these Terms.

5.2 Prohibited Conduct

• Do not use the service for unlawful purposes.
• Do not upload content that infringes on others' intellectual property rights.
• Do not attempt to gain unauthorized access to other users' accounts or data.
• Do not use the platform to generate content that exploits or harms minors.
• Do not abuse AI features to circumvent API provider terms of service.

5.3 System Integrity

Reverse engineering, data scraping, automated access beyond normal use, and attempting to compromise the platform's security are strictly prohibited.

5.4 API Key Responsibility

You are solely responsible for the security and usage of your API keys stored within Clio. GalateaLabs is not liable for charges incurred on your API accounts.

Privacy

Your manuscripts and data are stored securely. We do not sell your data to third parties. We do not use your writing to train AI models.

Termination

7.1 By You

You may terminate your account at any time via account settings. Upon termination, you may request a data export before deletion.

7.2 By Us

We may terminate accounts for violations of these Terms, prohibited conduct, or extended inactivity (with prior notice).

7.3 Effect of Termination

Your right to use the Service ends immediately. Your data will be deleted within 30 days, except where legally required to retain it. Downloaded exports remain yours.

Disclaimers and Limitations

8.1 Service Provided "As Is"

The Service is provided without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure service at all times.

8.2 AI Analysis Disclaimer

AI-generated analysis, suggestions, and critique are computational output, not professional editorial advice. Results may contain errors. Always use your own judgment regarding your creative work.

8.3 Limitation of Liability

GalateaLabs is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of manuscripts, data, or creative work. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

8.4 Data Loss

While we take reasonable precautions, we recommend maintaining your own backups of manuscripts and important data. We are not liable for data loss due to system failures, security incidents, or user error.

Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States.

9.2 Informal Resolution

We encourage you to contact us at legal@galatealabs.ai to resolve disputes informally before filing formal claims.

9.3 Arbitration Agreement

Disputes that cannot be resolved informally will be resolved via binding arbitration (JAMS) on an individual basis. Class actions and class arbitrations are not permitted.

9.4 Opt-Out

You may opt out of the arbitration agreement within 30 days of account creation by sending written notice to legal@galatealabs.ai.

General Terms

10.1 Changes to Terms

Material changes will be notified through the Service or by email. Continued use after changes constitutes acceptance.

10.2 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and GalateaLabs regarding Clio.

10.3 Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary. All other provisions remain in effect.

10.4 No Waiver

Failure to enforce any provision does not constitute a waiver of our rights.

10.5 Assignment

You cannot assign these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
